Terms of Service
The short version
- You must be 16 or older to use Spawnix.
- You own what you post. You let us host and show it so the Service works.
- Guild owners and admins are responsible for their guild, its website and how they moderate it.
- Don't use Spawnix for anything illegal, abusive or harmful (see section 6).
- Spawnix is in development and provided "as is"; features may change.
1. Agreeing to these terms
These Terms of Service ("Terms") govern your use of spawnix.gg, the dashboard at app.spawnix.gg, guild websites hosted on Spawnix, and the Spawnix app for Discord (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
Spawnix is in development and is currently operated by its founder ("Spawnix", "we", "us"). These Terms will be updated to name the company that operates Spawnix once one is formed.
2. Who can use Spawnix
You must be at least 16 years old to create an account. If you use Spawnix on behalf of a guild, clan or other group, you confirm you're allowed to act for it. You can't use the Service if we have previously banned you, or if the law forbids it.
3. Your account
- Give accurate information, keep your password private, and use a password you don't use elsewhere.
- You're responsible for what happens under your account. Tell us at [email protected] if you think someone else has accessed it.
- Accounts are for one person; don't share or sell them.
4. Guilds, owners and admins
The person who creates a guild is its owner. Owners and the admins they appoint control the guild's website, members, roles, forums, polls, events and settings. If you run a guild, you are responsible for:
- the content your guild publishes and how you moderate your members' content;
- having the right to publish anything you post about other people, including their names or images;
- following the rules of the games and communities your guild belongs to.
Guild admins can see their members' usernames, emails and roles, as explained in the Privacy Policy. Use that information only to run your guild.
5. Your content
You keep ownership of the content you create or upload ("your content"). You give Spawnix a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and distribute your content only as needed to operate, secure and improve the Service. This includes showing it on your guild's website and, where your guild chooses, posting it to Discord. The licence ends when your content is deleted, except for copies in backups (kept up to 14 days) and content others have already shared.
You confirm you have the rights to the content you post. We may remove content, or limit access to it, if we believe it breaks these Terms or the law, but we don't review everything posted and aren't responsible for content posted by users or guilds.
6. Acceptable use
Don't use the Service to:
- break the law, or help anyone else break it;
- harass, threaten, bully, or promote hatred or violence against anyone;
- post sexual content involving minors, sexually explicit material on public pages, or anyone's private information without their permission;
- infringe someone else's copyright, trademark or other rights;
- spread malware, phishing or scams, or send spam (including through invitations);
- impersonate a person, guild, game publisher or Spawnix;
- access accounts or data you're not authorized to, probe or break our security, or get around limits we set;
- overload the Service, or scrape or copy it in bulk with automated tools;
- sell or trade game accounts, items or currency where the game's rules forbid it.
7. Plans and payments
Spawnix offers a free plan (Recruit) and paid plans (Commander and Admiral) with additional features. A paid plan belongs to a guild, and only the guild's owner can buy, change or cancel it, from Billing in the guild dashboard.
- Who you pay.Paid plans are sold through Stripe's Link, which acts as the reseller (merchant of record) for your purchase. Link processes the payment, sends your receipts, collects any sales tax, VAT or GST, and handles payment questions and disputes. Its own terms apply to the payment. Prices are shown before you pay, and your local currency and tax are shown at checkout.
- Renewal.Plans are billed monthly or yearly and renew automatically at the end of each period, at the price then in effect, until cancelled. If we change the price of your plan, we'll tell you before it applies to a renewal.
- Changing plans. When you switch between plans or billing periods, the difference for the rest of the current period is charged or credited.
- Cancelling.You can cancel at any time. Your guild keeps its plan until the end of the period you've paid for, then moves to Recruit. We don't refund the rest of a period you cancel part-way through, except where the law requires it or where Link agrees to a refund.
- Failed payments.If a renewal payment fails, Link retries it for a while. If it still can't be collected, the plan ends and the guild moves to Recruit.
- Moving to Recruit.When a paid plan ends, features above the Recruit plan stop working (for example, a custom domain stops pointing at your guild's website). We don't delete your guild's content because its plan ended, and upgrading again restores those features.
We may give a guild a paid plan free of charge. We may change which features each plan includes; if a change takes away something you paid for, we'll tell you in advance.
8. Games, Discord and other services
Spawnix is not affiliated with, endorsed by or sponsored by any game publisher or by Discord. Game names and trademarks belong to their owners. When you connect Discord or other services, their own terms and privacy policies also apply, and we aren't responsible for them.
9. Copyright complaints
If you believe content on Spawnix infringes your copyright, email [email protected] with: your contact details; the work you believe is infringed; the exact web address of the content; a statement that you believe in good faith the use isn't authorized; and a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorized to act for them, with your physical or electronic signature. We may remove the content and will tell the person who posted it. We close the accounts of repeat infringers.
10. Suspension and ending your account
You can stop using Spawnix at any time and ask us to delete your account or your guild at [email protected]. We may suspend or close an account or guild that breaks these Terms, creates risk or legal exposure for us or others, or has been inactive for a long time. Where reasonable, we'll warn you first and give you a chance to export your content. Sections 5 (for backups), 8, 11, 12 and 13 continue to apply after your account ends.
11. Disclaimers
Spawnix is in development. The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or that it will be uninterrupted, error-free or secure. We may change, suspend or discontinue features at any time. Keep your own copies of content that matters to you.
12. Limitation of liability
To the fullest extent the law allows, Spawnix will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service. Our total liability for any claim about the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or US$50. Some places don't allow these limits, so they may not all apply to you; nothing in these Terms limits rights you have under consumer protection law that can't be waived.
13. Indemnity
If you or your guild's content or conduct breaks these Terms or the law and someone makes a claim against Spawnix because of it, you agree to cover the reasonable costs of that claim, to the extent the law allows.
14. Changes to these terms
We may update these Terms. We'll change the effective date at the top and, for material changes, tell you in advance by email or in the dashboard. Continuing to use the Service after a change takes effect means you accept the updated Terms.
15. General
If any part of these Terms can't be enforced, the rest still applies. Not enforcing a part of these Terms isn't a waiver of it. These Terms and the Privacy Policy are the whole agreement between you and Spawnix about the Service.
16. Contact
